1. Acceptance of Terms

By accessing our website at https://www.stwinsparx.com, engaging with our digital marketing and IT services, or purchasing our ready-to-use software products (such as School ERP, Hospital Management, and POS Billing), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please discontinue use of our website and services immediately.

2. Services, Quotations, and Project Deliverables

We provide software development, web and mobile app design, AI solutions, cloud infrastructure setup, and digital marketing services.

• Quotations & Proposals: All cost estimates provided via our website or direct consultations are valid for 30 days unless otherwise specified.
• Project Timelines: Development timelines are tentative and depend heavily on timely feedback, approvals, and content delivery from the client.
• Scope Changes: Any addition or modification outside the agreed initial scope of work will attract additional development costs and time extensions.

3. Software Products and Licensing

Our SaaS products and enterprise software licenses are governed by specific usage agreements:

• Software licenses granted are non-exclusive, non-transferable, and restricted to the agreed organizational scope.
• Reverse engineering, unauthorized redistribution, resale, or source code tampering of our proprietary products is strictly prohibited.
• Subscription renewals and cloud hosting fees must be cleared on time to prevent service interruptions.

4. Payment Terms and Refunds

Payment structures (advance percentages, milestone payments, or recurring subscriptions) will be outlined in individual project proposals or invoices.

• All advance payments and milestone deposits made to STWIN SPARX PVT LTD are strictly non-refundable once development or resource allocation has commenced.
• Failure to clear milestone invoices on due dates may result in a temporary suspension of live project servers or software deployment portals.

5. Intellectual Property Rights

All source codes, custom designs, database structures, UI/UX wireframes, and project deliverables created by STWIN SPARX remain our intellectual property until the final project invoice is settled in full. Upon full payment, intellectual property rights for custom-built client code are transferred to the client, excluding our reusable internal frameworks, core libraries, and proprietary software products.

6. Limitation of Liability

STWIN SPARX PVT LTD shall not be held liable for any indirect, incidental, special, or consequential damages, including loss of business profits, data corruption, server downtime caused by third-party cloud vendors (AWS/Azure), or marketing performance metrics outside our direct management control.

7. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of India. Any disputes, claims, or legal proceedings arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Udaipur, Rajasthan.
